Terms of Sale and Liability Waiver (USA)

Seller: Syntropy Training, LLC – North Carolina

These Terms of Sale and Liability Waiver (“Terms”) apply to all purchases of chiropractic tables from Seller. Seller is a reseller and did not design or manufacture the products.

1. Professional Use

Buyer represents and warrants that they are a licensed healthcare professional or an authorized representative of a licensed clinic. Products are to be used only by trained and qualified personnel. Buyer is responsible for safe operation and supervision of all users.

2. Manufacturer Responsibility

The manufacturer of the products is Fisiotech (“Manufacturer”). Any manufacturer warranty applies directly from the manufacturer. Seller passes through the manufacturer warranty to the extent permitted. Seller does not provide any separate product warranty except as expressly set out in writing.

3. Manufacturer Warranty

The product comes with a manufacturer warranty as outlined below. This warranty is provided by Fisiotech, and Seller passes it through to Buyer.

Warranty Period:

  • Steel frame structures: 5 years
  • Other components and structures: 2 years
  • Motors, motor accessories (wires, switches), gas springs: 1 year

Exclusions:

  • Upholstered parts
  • Defects caused by incorrect or careless use
  • Wearable parts (e.g., cushioning or steel cables) other than structural defects
  • Operating accessories
  • Faults caused by misuse, unauthorized modifications, or use of non-permitted components
  • Force majeure (fire, lightning, flood, hurricane, etc.)
  • Soiling, dents, or extraordinary environmental influences

Start of Warranty:

Warranty begins on the date of delivery to the customer. Claims must be submitted immediately upon discovery of a defect. Transport damage must be reported to the transport company and manufacturer within 3 days of receipt.

Scope and Payment:

  • Covers material defects and production errors within the warranty period
  • Covers restoration of product qualities to original specifications
  • Warranty service may include repair or replacement at manufacturer discretion
  • If repair is not possible, replacement will be a similar or functionally equivalent product
  • Warranty benefits are limited to the value of the defective product

Actions in Case of Warranty Claim:

Customer must contact the manufacturer maintenance department via email Hello@posturefixx.nl with:

  1. Name, address, zip code, and telephone number
  2. Product name and serial number
  3. Any other special characteristics

Void Warranty:

  • Unauthorized installation or use of non-permitted components
  • Repairs or modifications performed by unauthorized personnel
  • Use of non-approved cleaning agents or contact with prohibited substances

Shipping Costs for Warranty Claims

If a warranty claim is approved within the first three (3) months from the delivery date, Seller will cover standard shipping costs for replacement parts or products.*

After the first three (3) months, customers are responsible for shipping costs related to warranty repairs or replacement parts for the remainder of the warranty period. Seller will assist in coordinating warranty support with the manufacturer whenever possible.

Shipping charges are non-refundable and do not extend or reset the warranty period.

* Applies to sales in the U.S. and Europe only. For sales outside the U.S. or Europe, customers are responsible for all shipping costs related to warranty claims.

 

4. Warranty Disclaimer

Except for manufacturer warranties, products are provided “as is.” To the fullest extent permitted by U.S. law, Seller disclaims all implied warranties, including merchantability and fitness for a particular purpose.

5. Delivery and Inspection

Delivery Terms:
Customers acknowledge that delivery of the product is subject to street access by the delivery truck. The product will be dropped off at the curb or in front of the delivery address, and Seller is not responsible for moving the product beyond that point.

Inspection and Acceptance:
Buyer must inspect all products upon delivery. Any visible damage, missing items, or defects must be reported to Seller within 3 business days. Failure to notify constitutes acceptance of the product.

6. Use, Maintenance, and Safety

Buyer is responsible for installation, routine maintenance, and safe operation, following all manufacturer instructions. Misuse, modification, or failure to maintain products voids any limited obligations of Seller.

7. Injury and Damage Disclaimer

Buyer agrees that Seller did not design or manufacture the products and is not responsible for any injury, harm, patient damage, staff injury, property damage, or financial loss resulting from use, misuse, improper installation, improper maintenance, or operation.

Chiropractic tables are medical/clinical equipment and must be used only by licensed, trained professionals. Buyer assumes full responsibility for supervision, safety, and use.

To the fullest extent permitted by law, Seller has no liability for bodily injury, patient injury, staff injury, or property damage from any cause, including improper adjustment, lifting, overloading, mechanical stress, failure to follow manufacturer instructions, or modification.

Seller’s responsibility is limited to passing through the manufacturer warranty and facilitating replacement or repair per the warranty. This does not limit liability that cannot be restricted under applicable law for proven gross negligence or intentional misconduct.

8. Limitation of Liability

To the fullest extent permitted by law, Seller is not liable for indirect, incidental, special, exemplary, or consequential damages, including lost profits or business interruption. Except for claims based on Seller’s proven gross negligence or intentional misconduct, Seller’s total liability is limited to the purchase price of the specific product.

9. Indemnification

Buyer agrees to indemnify, defend, and hold Seller harmless from all claims, losses, and expenses, including attorney fees, arising from misuse, failure to ensure qualified use, failure to maintain, or unauthorized modification of the product.

10. Returns policy

All sales are final. Seller does not provide refunds for any reason, including change of mind or dissatisfaction.

Customers have 3 days from delivery to inspect the product for shipping damage or manufacturing defects. Claims must be submitted within this period.

At Seller’s discretion, replacement or repair may be offered for eligible claims, subject to the manufacturer warranty. Products must be unused and in original packaging to be eligible.

11. Compliance with Applicable Law

Buyer is responsible for ensuring purchase, installation, and use comply with all federal, state, and local laws and regulations.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina. Disputes will be resolved in state or federal courts in North Carolina, and parties consent to jurisdiction there.

13. Severability

If any part of these Terms is held invalid, the remaining sections remain in effect.

14. Entire Agreement

These Terms, including the manufacturer warranty where applicable, constitute the entire agreement between Seller and Buyer regarding the sale of products.

By completing the purchase, Buyer acknowledges reading and accepting these Terms.
